Corporate Wellness Program

Ongoing Legal Maintenance for Your Business Entity

Forming a business entity is only the first step. As your business operates and changes, its records, governing documents, and required filings should keep pace.

The Corporate Wellness Program is an annual legal-maintenance service for business owners who want ongoing attorney support after formation. Whether I form your corporation or LLC or you already have an existing entity, the program provides a clear process for keeping the legal side of your business organized over time.

Instead of wondering what needs to be documented, when a filing is due, or whether a business change requires legal attention, you have a lawyer who knows your entity and a plan for maintaining it.

What's Included

As Your Business Evolves

Your business will not stay the same forever. When a change requires legal work beyond routine maintenance, Corporate Wellness Program members can access Corporate Care Services.

This may include address changes, ownership or management changes, amendments to governing documents, and out-of-state qualification or other expansion-related needs. Each project is separately scoped and quoted in advance, so you understand the work and cost before it begins.

Not Incorporated Yet?

Formation is only the beginning. Start with the legal foundation, records, and ongoing support your business needs from day one.

Registered Agent Services

Every corporation and LLC must maintain a registered agent with a physical street address in its state of formation who is available during regular business hours to receive official state notices and legal documents.

Registered-agent service is included with your Corporate Wellness Program for your entity’s state of formation.

Additional states: $150 per state, per year.

Common Questions

If your corporation or LLC was formed, but no one has been responsible for its legal records and ongoing maintenance since then, the Corporate Wellness Program may be a fit.

Forming an entity is an important first step, but it is not the complete legal setup. Your business should have the governing documents and records that establish ownership, management authority, and the framework for documenting significant decisions. It also needs to stay current with applicable state filings as the business operates.

The Corporate Wellness Program is designed for business owners who want a lawyer to take responsibility for that legal maintenance over time—rather than leaving it to a filing reminder, a template, or something to address later.

Yes. I require clients to work with a CPA or tax advisor because your business decisions should account for both tax and legal considerations.

Your CPA or tax advisor can advise you on tax strategy, tax elections, reporting, and ongoing tax obligations. I handle the legal side: entity formation, governance documents, entity records, and ongoing legal maintenance.

Working together helps ensure that the legal structure and tax strategy are considered together as your business evolves.

That is common. Whether your entity was formed through an online service, with help from your CPA, by another attorney, or on your own, I can meet you where you are.

Through the Wellness Assessment, I review your governing documents, entity records, and state compliance status to understand how your business is set up today and identify any gaps that may need attention.

If corrective work is needed, I prepare the appropriate documents and filings within the agreed scope. If I identify work outside that scope, I will explain my recommendation and provide a separate scope and quote before beginning it.

Once the initial work is complete, the Corporate Wellness Program gives you ongoing legal support to help keep your records current as your business evolves.

If your business was formed in California and is registered to do business in other states, I can coordinate foreign qualification and arrange registered-agent service where needed.

The Corporate Wellness Program includes registered-agent service for your California entity. Registered-agent service in additional states is available for $150 per state, per year. Foreign qualification, additional state filings, and other multi-state work are separately scoped and quoted based on the states involved and the work required.

That is a common reason clients come to me. If you already have a corporation or LLC, we begin with a Wellness Assessment & Remediation.

I review your governing documents, entity records, ownership and management information, and state compliance status to identify gaps and prepare a practical remediation plan. The first-year service includes corrective documents and filings within the agreed scope, such as missing governance documents, written consents or other corrective records, and updates to state filings.

If your entity is suspended or otherwise not in good standing, I will coordinate with your CPA or tax advisor regarding any tax-related requirements and handle the appropriate California reinstatement or revival filings within the agreed scope.

If your entity is involved in an active lawsuit or IRS audit, I am unable to take on record-cleanup work at that time.

The Corporate Wellness Program is your annual legal-maintenance service. It covers the routine work that helps keep your corporation or LLC organized over time, including registered-agent service, periodic state filings within the program’s scope, entity-record updates, written consents as appropriate, and ongoing governance support.

Corporate Care Services are separately scoped projects for changes that go beyond routine maintenance—such as ownership or management changes, amendments to governing documents, business closures, or multi-state expansion.

Corporate Care Services are available to Corporate Wellness Program clients. Before beginning a Corporate Care project, I will explain the recommended work and provide a separate scope and quote.

Your first year is $997, plus applicable government filing fees.

If you are starting a new business, the first-year fee includes California entity formation, registered-agent service, and your first year of the Corporate Wellness Program.

If you already have a corporation or LLC, the first-year fee includes a Wellness Assessment, remediation within the agreed scope, registered-agent service, and your first year of the Corporate Wellness Program.

After the first year, the Corporate Wellness Program renews at $499 per year.

Corporate Care Services—such as ownership changes, business closures, governing-document amendments, and multi-state expansion—are separately scoped and quoted in advance. Government fees, including formation filing fees, periodic state filing fees, and additional-state registered-agent service, are separate.

Your CPA or tax advisor handles tax advice, tax filings, and tax payments, including California franchise-tax obligations and any applicable LLC fee.

You may serve as your own registered agent or designate another eligible individual, such as your CPA. But that person must be willing to use a physical address on the public record and be reliably available there during regular business hours to receive official notices and legal papers.

If you use your business address, service of process may be delivered while you are unavailable or received by an employee who does not recognize it as time-sensitive. If those papers are misplaced or not promptly forwarded, the business could miss an important deadline to respond.

Registered-agent service is included with your formation package and each year of the Corporate Wellness Program for your entity’s state of formation. If you currently use another commercial registered-agent provider, I can coordinate the change so you are not paying separately for overlapping registered-agent and compliance-notice services.

The included service provides one reliable point of contact for official notices and service of process, alongside your ongoing entity-maintenance support.

Additional-state registered-agent service is available for $150 per state, per year.

The Corporate Wellness Program is focused on entity formation, governance, records, periodic filings, and ongoing legal maintenance.

It does not include tax strategy or tax filings, estate planning, contract drafting or review, litigation, or general legal counsel unrelated to your business entity. Tax matters should be addressed with your CPA or tax advisor.

Some business changes—such as ownership changes, amendments to governing documents, business closures, or expansion into another state—may require separately scoped Corporate Care Services.

If a question falls outside the Program’s scope, you are welcome to reach out. I will let you know whether it is something I can assist with, whether it requires separately scoped work, or whether another type of professional would be more appropriate.

Yes. You can cancel the Corporate Wellness Program at any time by letting me know.

If you cancel before your renewal date, the Program will not renew for another year. If you end the Program during a paid annual term, I will confirm the effective date, explain the next steps for your entity records and registered-agent service, and refund any unearned portion of an advance fee as required.

You will retain access to your entity documents, and I will provide your client materials upon request.

Once you complete the Get Started form, I review your business information and determine the appropriate next step. Depending on whether you are forming a new entity or have an existing one, I will follow up with a conversation or send an engagement agreement and payment instructions to begin the process.
